1. Acceptance of Terms

By creating an account, submitting a trial application, or using the RealtyDash platform and services ("Service") in any way, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are using the Service on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms, in which case "you" refers to that organization.

If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

RealtyDash provides cloud-based property management software for homeowner associations, condominium associations, homewatch professionals, and vacation rental managers. The Service includes tools for resident and property management, dues and payment tracking, maintenance coordination, document management, communications, reporting, and related features as made available from time to time.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

3. Account Registration

Access to the Service requires an approved account. You must submit a trial application with accurate, current, and complete information. Account approval is at our discretion. Once approved, you will receive an activation link to set up your credentials.

• You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
• You must promptly notify us at [email protected] of any unauthorized access or suspected security breach.
• Accounts are intended for business use. You may invite team members to your account through the invitation system, and their use of the Service is subject to these Terms.
• You may not share your login credentials with individuals outside your organization or transfer your account to another party without our written consent.

4. Trial Period and Subscription

Approved accounts receive a 14-day free trial with full access to all features. No payment information is required to begin your trial.

• After the trial period ends, continued access to the Service requires selecting and activating a paid subscription plan.
• Subscription fees are billed in advance on a recurring basis, either monthly or annually depending on the plan selected.
• All payments are processed by our third-party payment processor. RealtyDash does not store your full payment card data.
• Subscription fees are non-refundable except as required by applicable law or as expressly stated in your plan agreement.
• We reserve the right to change our pricing with at least 30 days' advance notice delivered via email to the account owner.
• Failure to maintain a paid subscription after the trial period will result in suspension of your account until payment is resolved.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any manner that violates applicable federal, state, or local laws or regulations
• Upload, transmit, or store any content that is unlawful, defamatory, obscene, or that infringes any third-party intellectual property or privacy rights
• Attempt to gain unauthorized access to any portion of the Service, its related systems, or any accounts other than your own
• Interfere with or disrupt the integrity or performance of the Service or the data contained therein
• Use automated means (bots, scrapers, crawlers) to access or extract data from the Service without our prior written consent
• Resell, sublicense, or otherwise provide access to the Service to third parties not affiliated with your account
• Impersonate any person or entity or misrepresent your affiliation with any person or entity

Violation of this section may result in immediate suspension or termination of your account.

6. Customer Data

You retain ownership of all data, records, and content that you upload to or create within the Service ("Customer Data"). You grant RealtyDash a limited, non-exclusive license to store, process, and display your Customer Data solely as necessary to provide the Service to you.

• We do not sell your Customer Data to third parties.
• You are solely responsible for the accuracy, legality, and appropriateness of all Customer Data you submit.
• Upon account termination, you may request an export of your Customer Data within 30 days. After that period, we may permanently delete your data.

7. Intellectual Property

The Service and all of its components — including software, design, features, documentation, trademarks, and underlying technology — are owned by RealtyDash and protected by applicable intellectual property laws. These Terms do not grant you any rights in or to the RealtyDash name, logo, or other intellectual property beyond the limited right to use the Service as described herein.

Any feedback, suggestions, or improvements you provide regarding the Service may be used by RealtyDash without restriction or compensation.

8. Third-Party Services

The Service may integrate with or link to third-party services, including payment processors, mapping services, and email delivery providers. Your use of any third-party service is subject to that service's own terms and privacy policy. RealtyDash is not responsible for the practices, availability, or content of third-party services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. REALTYDASH DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REALTYDASH'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL SUBSCRIPTION FEES PAID BY YOU IN THE THREE CALENDAR MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

IN NO EVENT SHALL REALTYDASH BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Indemnification

You agree to indemnify, defend, and hold harmless RealtyDash, its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your Customer Data; (c) your violation of these Terms; or (d) your violation of any applicable law or third-party rights.

12. Termination

Either party may terminate the agreement at any time:

• By you: Cancel your account at any time through your account settings. Cancellation takes effect at the end of your current billing period.
• By us: We reserve the right to suspend or terminate your account for violation of these Terms, non-payment, or at our discretion, with reasonable notice where practicable.

Upon termination, your right to access the Service ceases immediately. Sections on intellectual property, data ownership, disclaimer of warranties, limitation of liability, indemnification, and governing law survive termination.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-law principles. Any dispute, claim, or controversy arising from or related to these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in Florida, and you irrevocably consent to the personal jurisdiction of those courts.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email to the address associated with your account at least 14 days before the changes take effect. The "Last updated" date at the top of this page reflects the most recent revision. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
